We are seeking an Senior Executive / Executive – Corporate Affairs and Legal to support our legal and corporate functions. This role is ideal for a proactive and detail-oriented professional with a strong foundation in company law and secretarial practices who thrives in a client-focused environment.
Responsibilities
• Oversee company secretarial tasks, including preparation and filing of statutory documents, maintaining statutory registers, and ensuring compliance with regulatory requirements.
• Act as the primary liaison with the Registrar of Companies, handling all filings, submissions, and compliance issues on behalf of clients.
• Lead and manage the process of company liquidations, ensuring compliance with all legal requirements and providing clear guidance to clients through each phase.
• Provide strategic legal advice to foreign investors, guiding them through regulatory compliance, investment structuring, and navigating the complexities of entering the Sri Lankan market.
• Develop and manage corporate governance frameworks for clients, advising on board composition, shareholder agreements, and regulatory obligations to maintain alignment with legal and ethical standards.
• Draft, review, and manage essential corporate documents such as board resolutions, minutes of meetings, and shareholder agreements, ensuring accuracy and compliance.
• Develop and maintain relationships with key stakeholders, including clients, regulatory authorities, and internal teams, to support smooth operations and client satisfaction.
Requirements
• Attorney-at-Law with a minimum of 1 year of experience. Newly enrolled Attorneys-at-Law are also encouraged to apply.
• Strong understanding of Company Law, corporate governance, and secretarial practices.
• Knowledge or experience in investment laws and regulations is highly desirable.
• Proficient in English with excellent verbal and written communication skills.
• Competency in MS Office and the ability to adapt to new technologies.
• Self-driven, detail-oriented, and capable of working with minimal supervision.
• Ability to handle public relations with cross-cultural sensitivity and good interpersonal skills.
