Job description

The Colombo Stock Exchange (CSE) and its subsidiaries are licensed as Market Institutions by the Securities and Exchange Commission of Sri Lanka (SEC) under the SEC Act No. 19 of 2021. The CSE Group provides services to a wide array of stakeholders, including the Trading Participants, Listed Entities, Depository Participants and Clearing Members, as a capital market infrastructure provider.

The Legal, Enforcement and Compliance Division is primary responsible for ensuring sound governance, effectively managing legal and compliance risks and executing timely enforcement actions.

Position Overview: Reporting to the Chief Executive Officer of the CSE, the chosen candidate will lead and guide the Legal, Enforcement and Compliance Team, overseeing all related activities within the CSE Group.

Requirements to apply::
• Attorney-at-Law with a minimum of 10 years of experience in Corporate Law, Commercial Law, Contracts and Litigation.
• Bachelor’s or Master’s Degree in Law (LL.B/LL.M) from a recognized institution is advantageous.
• 5-7 years of managerial experience leading legal and compliance teams in a reputed organization.
• Qualified Notary Public experienced in drafting and attesting legal documents.
• Familiarity with Capital Markets or Financial Services would be an added advantage.
• Strong contract negotiation and drafting skills.
• Ability to innovate and provide sound legal strategies.
• Proficiency in English, attention to detail, and excellent analytical skills.
• Ability to multi-task and work efficiently under pressure.

Key Responsibilities:
• Develop legal strategies aligned with CSE Group’s goals and manage legal risks.
• Provide expert legal advice and resolve legal issues by drafting necessary documentation.
• Manage contract processes, including timely execution.
• Handle conveyancing matters, including the execution and registration of Deeds.
• Support the Board of Directors of the CSE Group in fulfilling its governance obligations and coordinate with Company Secretaries on matters relating to Board governance.
• Manage litigation matters, including coordination with legal counsel.
• Protect CSE Group’s intellectual property rights for patents, trademarks, and copyrights.
• Manage investor grievances, dispute resolution, and disciplinary issues involving key stakeholders.
• Executing timely enforcement actions as per applicable CSE rules.
• Overseeing and monitoring the company’s compliance framework, ensuring complete adherence to applicable legal, regulatory requirements and industry standards.
